Software License Agreement

1. Overview
This Software License Agreement ("Agreement") governs your use of software products provided by RIDLY (Sole Proprietor Tsehynka Roman Bohdanovych, Tax ID: 3236904735).
By purchasing, downloading, or using our software, you agree to the terms of this Agreement.
2. License Types
2.1 Open Source License (MIT)
Applies to: RIDLY Mobile SDK (Free version)
The RIDLY Mobile SDK is released under the MIT License:
- โ Use for any purpose (commercial or personal)
- โ Modify the source code
- โ Distribute copies
- โ Include in your own projects
- โ Sublicense to others

Applies to: RIDLY Mobile Pro, RIDLY Accessibility Widget Pro, Premium Themes
Upon purchase, you receive a non-exclusive, perpetual license to use the software under the following terms:
What You CAN Do:
- โ Use on one (1) production project/domain
- โ Modify the source code for your own use
- โ Create derivative works for your project
- โ Use for commercial purposes
- โ Receive updates for 12 months from purchase date
- โ Access to private GitHub repository
What You CANNOT Do:
- โ Redistribute or resell the software
- โ Share access with third parties
- โ Use on multiple projects without additional licenses
- โ Remove copyright notices or license information
- โ Create competing products based on our code
- โ Sublicense to others
3. License Scope
3.1 Single Domain License
One license = One production project
Examples:
- โ mystore.com (production) + staging.mystore.com (staging) = 1 license
- โ mystore.com + mobile app for mystore.com = 1 license
- โ mystore.com + anotherstore.com = 2 licenses required
3.2 Development & Testing
You may use the software on:
- Local development environments
- Staging/testing servers
- CI/CD pipelines
...as long as they serve a single production project.
3.3 Multi-Domain License
For agencies or businesses with multiple projects:
- Contact us for volume licensing
- Discounts available for 3+ licenses
4. Delivery
4.1 Premium Products
After purchase, you will receive:
1. Email confirmation with order details
2. GitHub invitation to the private repository (within 24 hours)
3. License key for premium features (if applicable)
4.2 Access Duration
- Repository access: Lifetime (as long as the product exists)
- Updates: 12 months included, then optional renewal
- Support: 12 months email support
5. Updates & Support
5.1 Updates
Your license includes:
- Bug fixes and security patches
- New features released within 12 months
- Compatibility updates with major framework versions
5.2 Support
Premium license includes:
- Email support (24-48h response time)
- GitHub issues for bug reports
- Documentation access
Not included:
- Custom development
- Installation/setup services
- Phone support
6. Intellectual Property
6.1 Ownership
RIDLY retains all intellectual property rights to the software. You receive a license to use it, not ownership.
6.2 Your Code
Any code you write using our software belongs to you. We make no claims to your custom modifications or applications built with our SDK.
6.3 Third-Party Components
Our software may include third-party open-source components. These are licensed under their respective licenses (listed in package.json or THIRD_PARTY_LICENSES file).
7. Warranty & Liability
7.1 Limited Warranty
We warrant that:
- The software will function as documented
- We will provide bug fixes for critical issues within 12 months
7.2 Disclaimer
THE SOFTWARE IS PROVIDED "AS IS". WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
7.3 Limitation of Liability
Our total liability is limited to the amount you paid for the license. We are not liable for:
- Lost profits or revenue
- Data loss
- Indirect or consequential damages
- Third-party claims
8. Termination
8.1 By You
You may stop using the software at any time. No refund for unused license period.
8.2 By Us
We may terminate your license if you:
- Violate this Agreement
- Redistribute the software
- Use for illegal purposes
Upon termination:
- Delete all copies of the software
- Remove from production
- GitHub access will be revoked
9. Refunds
Refunds are handled according to our Refund Policy at ridly.io/refund:
- 14-day money-back guarantee for unused software
- No refund after deployment to production
- No refund after 14 days
10. Changes to This Agreement
We may update this Agreement. Changes apply to:
- New purchases immediately
- Existing licenses upon renewal
We will notify you of significant changes via email.
11. Governing Law
This Agreement is governed by the laws of Ukraine. Disputes shall be resolved in the courts of Lviv, Ukraine.
