Terms of Service

1. Agreement to Terms

By accessing or using RIDLY's website (ridly.io), products, or services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

RIDLY provides:

• Products: Open-source SDKs, premium themes, and plugins for e-commerce development
• Services: Technical consulting, custom development, and staffing for e-commerce projects

3. Use of Services

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our services.

3.2 Account Responsibilities

• You are responsible for maintaining the confidentiality of any account credentials
• You are responsible for all activities under your account
• You must notify us immediately of any unauthorized use

3.3 Acceptable Use

You agree not to:

• Use our services for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt our services
• Reverse engineer our proprietary software (excluding open-source components)

4. Products and Licenses

4.1 Open Source Products

Our open-source SDKs are provided under the MIT License. You may use, modify, and distribute them according to that license.

4.2 Premium Products

Premium themes and plugins are provided under a commercial license:

• You receive a license to use the product, not ownership
• One license per project/domain unless otherwise specified
• No redistribution or resale without written permission

5. Services and Payment

5.1 Service Engagement

• We provide estimates within 24 hours of receiving your request
• Work begins only after you approve the scope and price
• Payment terms are agreed upon before work begins

5.2 Payment

• Invoices are due within the agreed payment terms
• Late payments may incur additional fees
• We reserve the right to suspend services for non-payment

5.3 Refunds

• For services: No refunds for completed work
• For products: 14-day refund policy if unused

6. Intellectual Property

6.1 Our IP

All RIDLY branding, proprietary code, and content remain our property.

6.2 Your IP

You retain ownership of your data and any content you provide to us.

6.3 Work Product

Custom development work becomes your property upon full payment, unless otherwise agreed.

7. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to the amount paid for the specific service
• We provide services "as is" without warranties of any kind

8. Indemnification

You agree to indemnify and hold harmless RIDLY from any claims arising from your use of our services or violation of these terms.

9. Termination

We may terminate or suspend access to our services at any time, with or without cause, with or without notice.

10. Changes to Terms

We may modify these terms at any time. Continued use of our services after changes constitutes acceptance of the new terms.

11. Governing Law

These terms are governed by the laws of Ukraine. Any disputes shall be resolved in the courts of Lviv, Ukraine.
