Public Offer Agreement

1. General Provisions
1.1 Parties
This Public Offer Agreement (hereinafter "Agreement") is a formal offer from:

to any individual or legal entity (hereinafter "Buyer") to enter into an agreement for the sale of digital products and/or provision of services on the terms set forth below.
1.2 Acceptance
By placing an order on the website ridly.io and making payment, the Buyer fully and unconditionally accepts the terms of this Agreement.
1.3 Definitions
- Products — digital goods including themes, plugins, SDKs, and other software
- Services — custom development, consulting, technical support, and other services
- Order — a request from the Buyer for Products or Services
- Website — the website located at ridly.io
2. Subject of the Agreement
2.1 Products
The Seller offers the following digital products:
- RIDLY Mobile SDK — open-source SDK for mobile e-commerce (free)
- RIDLY Mobile Pro — premium mobile app theme (€299)
- RIDLY Accessibility Widget — web accessibility widget (subscription-based)
- Other products as listed on the Website
2.2 Services
The Seller offers the following services:
- Custom mobile app development
- E-commerce platform integrations
- Technical consulting
- Ongoing support and maintenance
3. Order Procedure
3.1 Placing an Order
1. The Buyer selects a Product or Service on the Website
2. The Buyer provides required contact information
3. The Buyer confirms the Order
4. The Seller sends an order confirmation to the Buyer's email
3.2 Order Confirmation
An Order is considered confirmed when:
- For Products: payment is successfully processed
- For Services: both parties agree on scope and price in writing
4. Prices and Payment
4.1 Prices
- All prices are listed in EUR (Euro)
- Prices include all applicable taxes
- The Seller reserves the right to change prices at any time
- Price changes do not affect already paid Orders
4.2 Payment Methods
The Seller accepts the following payment methods:
- Credit/Debit cards (Visa, Mastercard) via WayForPay payment gateway
- Bank transfer (for orders over €500)
4.3 Payment Terms
- Products: full payment before delivery
- Services: as agreed in the service contract (typically 50% upfront, 50% upon completion)
5. Delivery
5.1 Digital Products
- Delivered electronically via email and/or download link
- Delivery within 24 hours of payment confirmation
- The Buyer receives access to download the Product and license key (if applicable)
5.2 Services
- Delivery timeline as agreed in the service contract
- Work is delivered via agreed channels (Git repository, email, etc.)
- Acceptance procedure as defined in the service contract
5.3 Delivery Geography
- Digital Products: worldwide (no geographical restrictions)
- Services: worldwide (remote work)
6. Rights and Obligations
6.1 Seller Obligations
The Seller undertakes to:
- Provide Products and Services as described on the Website
- Deliver Products within stated timeframes
- Provide technical support as per the support terms
- Process refunds according to the Refund Policy
6.2 Buyer Obligations
The Buyer undertakes to:
- Provide accurate contact and payment information
- Pay for Orders in a timely manner
- Use Products and Services according to license terms
- Not redistribute or resell Products without permission
6.3 Buyer Rights
The Buyer has the right to:
- Receive Products and Services as described
- Request a refund according to the Refund Policy
- Contact support for technical assistance
- Access updates for Products (as per license terms)
7. Intellectual Property
7.1 License Grant
Upon purchase, the Buyer receives a license to use the Product according to the specific license terms provided with each Product:
- Open-source Products: MIT License
- Premium Products: Commercial license (one license per project/domain)
7.2 Restrictions
The Buyer may not:
- Redistribute or resell Products
- Remove copyright notices
- Use Products in violation of license terms
8. Warranties and Liability
8.1 Product Warranty
- Products are provided "as is"
- The Seller warrants that Products function as described
- The Seller provides bug fixes for 12 months from purchase
8.2 Limitation of Liability
- The Seller is not liable for indirect or consequential damages
- Total liability is limited to the amount paid for the Product/Service
- The Seller is not liable for third-party services or integrations
9. Refunds and Cancellations
Refunds are processed according to the Refund Policy available at ridly.io/refund:
- Digital Products: 14-day money-back guarantee (if unused)
- Services: Prorated refund for undelivered work
10. Force Majeure
Neither party is liable for failure to perform obligations due to circumstances beyond their control, including but not limited to: natural disasters, war, government actions, internet outages.
11. Dispute Resolution
11.1 Negotiation
Disputes shall first be resolved through good-faith negotiations.
11.2 Governing Law
This Agreement is governed by the laws of Ukraine.
11.3 Jurisdiction
Any disputes not resolved through negotiation shall be submitted to the courts of Ukraine.

13. Amendments
The Seller reserves the right to amend this Agreement at any time. Amendments take effect upon publication on the Website. The Buyer is responsible for reviewing the current version of the Agreement.
